Generally, foreign nationals are restricted to 49% ownership of Thai limited companies under the Foreign Business Act (FBA). However, there are legitimate routes to higher foreign ownership: US nationals can own 100% under the US-Thai Treaty of Amity; BOI-promoted companies may receive FBA exemptions; and certain business categories are not subject to FBA restrictions. For a Thai-majority limited company, there is no legally mandated minimum capital, though the DBD expects a reasonable amount relative to business activities.
